IntelCue is an AI-powered intelligence platform that monitors publicly available sources (such as blogs, news feeds, newsletters, social media profiles, video channels, websites, public regulatory filings, and advertising transparency data) on your behalf. The Service analyzes collected content using artificial intelligence to deliver trending topics, competitive insights, keyword extraction, AI-generated content suggestions, and AI-generated briefing images. IntelCue also provides connectivity to AI assistants (such as Claude and ChatGPT) via the Model Context Protocol (MCP), and can deliver insights directly to your workspace via messaging integrations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

IN NO EVENT SHALL INTELCUE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Without limiting the above, we are not liable for any decisions you make based on AI-generated content, insights, trending topics, competitive alerts, or any other output of the Service.

You agree to indemnify, defend, and hold harmless IntelCue and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraud or abuse, a request from law enforcement, or if we determine in good faith that your use of the Service may violate the rights or terms of service of any third party.

You may delete your account at any time through the Service. Upon termination, your right to use the Service will immediately cease. We may delete your workspace data within a reasonable period following termination, in accordance with our Privacy Policy.

We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We reserve the right to modify these Terms at any time. If we make material changes, we will update the “Last updated” date at the top of this page and may notify you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

17. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with recognized arbitration rules, unless you are located in a jurisdiction that grants you the right to bring claims in court, in which case local courts of competent jurisdiction shall apply.

Nothing in these Terms shall limit your statutory rights as a consumer that cannot be waived or limited by contract.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
