1. Acceptance of Terms

By accessing or using IntelCue (“the Service”), operated by IntelCue (“we”, “our”, “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

IntelCue is an AI-powered intelligence platform that monitors publicly available sources (such as blogs, news feeds, newsletters, social media profiles, video channels, websites, public regulatory filings, and advertising transparency data) on your behalf. The Service analyzes collected content using artificial intelligence to deliver trending topics, competitive insights, keyword extraction, AI-generated content suggestions, and AI-generated briefing images. IntelCue also provides connectivity to AI assistants (such as Claude and ChatGPT) via the Model Context Protocol (MCP), and can deliver insights directly to your workspace via messaging integrations.

3. Account & Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Provide accurate and complete registration information.
• Keep your account credentials secure and confidential.
• Notify us immediately of any unauthorized use of your account.

You are solely responsible for all activity that occurs under your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Resell, sublicense, or redistribute the Service or any data obtained through it without our prior written consent.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Scrape, crawl, or use automated means to access the IntelCue platform itself (as distinct from the sources you configure).
• Attempt to interfere with or disrupt the integrity or performance of the Service.
• Use the Service to harass, abuse, or harm others, or to collect personal information about individuals without their consent.
• Exceed any rate limits or usage thresholds established for your account tier.

5. Public Data & Source Monitoring

IntelCue collects and analyzes publicly available content from sources that you configure in your workspace. This includes blog posts accessible via RSS feeds, publicly available news articles, public social media posts, publicly filed patents, SEC filings, and other publicly accessible web content.

• We do not guarantee the accuracy, completeness, or timeliness of third-party content.
• You represent that you have a legitimate business interest in monitoring the sources you configure.
• You are solely responsible for ensuring that your use of monitored content complies with the terms of service of the original content providers and any applicable third-party platform terms.
• We access only publicly available information. We do not bypass paywalls, login requirements, or access controls.
• Content collected from your sources is stored within your private workspace and is not shared with other users.

6. AI-Generated Content & Disclaimers

IntelCue uses artificial intelligence, including large language models (LLMs), to analyze content and generate insights such as trending topics, competitive alerts, keyword analysis, content ideas, and ad suggestions. You acknowledge and agree that:

• AI output may contain errors. AI-generated content, insights, and recommendations may be inaccurate, incomplete, misleading, or out of date. You should independently verify any information before relying on it.
• Not professional advice. Nothing in the Service constitutes legal, financial, investment, marketing, or other professional advice. Consult qualified professionals before making business decisions based on AI-generated output.
• You assume responsibility. You are solely responsible for any actions you take based on AI-generated content provided by the Service.
• No guarantee of results. We do not guarantee that insights, trends, or suggestions will lead to any particular business outcome.

7. Intellectual Property

• Our property: The IntelCue platform, its design, features, code, branding, and documentation are owned by IntelCue and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.
• Your data: You retain ownership of the data in your workspace, including source configurations and any content you create. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
• AI-generated content: Content generated by the Service (e.g., post ideas, ad suggestions) is provided to you as-is for your use. We make no claims of ownership over AI-generated output, but we also make no guarantees regarding its originality or suitability.
• Third-party content: Content collected from third-party sources remains the property of its respective owners. Your use of such content is subject to the original content provider’s terms and applicable copyright laws.

8. Third-Party Services

The Service integrates with or collects data from various third-party platforms, data providers, and services. These integrations are subject to the following:

• Third-party services have their own terms of service and privacy policies, which continue to apply.
• We are not responsible for the availability, accuracy, or content of third-party services.
• Third-party platforms may change their APIs, terms, or access policies at any time, which may affect our ability to provide certain features.
• Your decision to connect third-party accounts (e.g., via OAuth) is voluntary. You may disconnect at any time.

9. MCP & API Access

IntelCue provides API access and MCP (Model Context Protocol) connectivity to enable integration with AI assistants and other tools. By using these features:

• You are responsible for keeping your API keys secure. Treat them like passwords — do not share them publicly or embed them in client-side code.
• We may impose rate limits and usage quotas. Exceeding these limits may result in temporary or permanent restriction of access.
• We reserve the right to revoke API access at any time if we detect misuse or violation of these Terms.
• API and MCP access is provided on an “as available” basis. We do not guarantee uptime or latency for API endpoints.

10. Analytics & Cookies

We use Google Tag Manager (which loads Google Analytics) to understand how users interact with the Service. This may involve the use of cookies and similar tracking technologies. Specifically:

• Essential cookies: Used for authentication and session management. These are required for the Service to function.
• Analytics cookies: Used by Google Tag Manager and Google Analytics to collect anonymous usage data (pages visited, time on site, device type). This data helps us improve the Service.
• No advertising cookies: We do not use cookies for advertising, remarketing, or behavioral targeting.
• By using the Service, you consent to the use of essential and analytics cookies as described above and in our Privacy Policy.

If you are located in the European Economic Area (EEA) or the United Kingdom, you have additional rights under the General Data Protection Regulation (GDPR), including:

• The right to withdraw consent at any time.
• The right to lodge a complaint with a supervisory authority.

Our lawful bases for processing personal data include: performance of a contract (providing the Service), legitimate interests (improving the Service and security), and consent (where applicable, such as for analytics cookies).

12. US Law Compliance

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information we collect, the right to request deletion, and the right to opt out of the sale of personal information. We do not sell personal information.

Our email capture feature (used to subscribe to newsletters on your behalf) complies with the CAN-SPAM Act. Capture emails are created at your direction, and you may unsubscribe from any captured newsletter at any time through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

IN NO EVENT SHALL INTELCUE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

Without limiting the above, we are not liable for any decisions you make based on AI-generated content, insights, trending topics, competitive alerts, or any other output of the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless IntelCue and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights.
• Any content or data you submit to or through the Service.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, suspected fraud or abuse, a request from law enforcement, or if we determine in good faith that your use of the Service may violate the rights or terms of service of any third party.

You may delete your account at any time through the Service. Upon termination, your right to use the Service will immediately cease. We may delete your workspace data within a reasonable period following termination, in accordance with our Privacy Policy.

We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will update the “Last updated” date at the top of this page and may notify you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

17. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with recognized arbitration rules, unless you are located in a jurisdiction that grants you the right to bring claims in court, in which case local courts of competent jurisdiction shall apply.

Nothing in these Terms shall limit your statutory rights as a consumer that cannot be waived or limited by contract.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
